This is the scenario: The site is underground. Freeps has 5 comps in play: four of them have 5 str, one has 10 str. Shadow player play Balrog, Demon of Might and another insignificant fierce minion. Can the free peoples player assign that insignificant minion to the companion with 10 str and leave Balrog unassigned?

They can, but the Shadow player can then assign The Balrog, Demon of Might to the companion with 10 strength, so that companion would be skirmishing both minions.

Assuming the 10 strength companion is killed during the first skirmish, The Balrog, Demon of Might could not be assigned to any companion (since they all would be 5 strength) for the fierce skirmish.

I have always thought that while at an underground applies for skipping the manuever phase and archery phase.

Cannot be assigned to companions strength 6 or less applies all the time. Underground or not.
(And this is the way it has always been used every time he has appeared on gccg that I have witnessed).

But by the way it's written it could go either way...

Reading the card over, I guess it would be the way I suggested if the "and" was before "the manuever phase".
