While Theoden is mounted and wounded ,each other
mounted [rohan] companion is strength +2 and cannot
be overwhelmed unless its strength is tripled.

This guy is just way too strong. The thing about Rohan is, everyone plays horses with them. I can see just the overwhelmed part, but even that is too strong for my liking. You know, there is not much in the Rohirrim culture that takes advantage of the Valiant keyword...you should consider doing something like that. Maybe:
While Theoden is Mounted, each Valiant companion is strength +1. That might might be reasonable.

Also, I'd consider a different subtitle. This is too close to Theoden, Northman, King of Rohan.

This guy is just a Theoden, Leader of Spears on steroids. I just think he is too powerful!

Wait...why are we exerting him to play a mount on him? Is this particularly from the draw deck? Discard pile? Hand? If it's from hand, why would you exert him anyways?

If it is from the draw deck or discard pile, this guy is actually the strongest of them all. If I had the Theoden and Eomer that you have proposed, I would definitely pack four of this guy. Imagine this:
Step 1: Exert Rohirrim Rider to get mount on Rohirrim Rider.
Step 2: Transfer mount to another companion.
Step 3: Exert Rohirrim Rider to get Brego on Rohirrim Rider.
Step 4: Heal Rohirrim Rider with Brego.
Step 5: Transfer mount to another companion.
Step 6: Exert Rohirrim Rider to get mount on Rohirrim Rider.
Step 7: Transfer mount to another companion.

With just the tiniest bit of healing...Athelas, maybe, if you run Boromir, Bearer of Council or Isildur, Bearer of Heirlooms, you could mount up your entire Fellowship in one turn. Just seems...wildly broken. Now, there are solutions:

Strength 5, Vitality 3, Resistance 6
At the start of each Fellowship phase, you may exert this companion to play a mount on him from your draw deck or discard pile.
Regroup: Discard two [Rohirrim] mounts to make the move limit +1 and wound a minion.

Keep in mind, Firefoot, Snowmane, Windfola, and Brego all allow bearer to be "a [Rohan] man." So you could get all of your best horses out of your draw deck or discard pile and then transfer them to another companion...that now breaks simbelmyne, because you can just get characters and Eomer's Spear and Herugrim, etc.

Jesus...what? This is ridiculous! It's not hard to exhaust a character on purpose with "exert to play" events...and with Eowyn, Lady of Rohan, Theoden is invincible and makes everyone else even stronger!

This would make a lot more sense as:
[6] Glorious Charge [Rohan]
Condition • Support Area
To play spot Theoden (or three Valiant companions).
While Theoden is exhausted, each time he is assigned to a skirmish make a mounted companion strength +3 and unable to take wounds.

That way it works on Shadowfax, Arod, Brego on a [Gondor] man...etc. It's still awfully strong...but...better.

I think this is a joke. But I can't tell. Because it is clearly a [Shire] companion, but there has always been talk of making "Corrupted Companion" minions...if that is what you were going for:

Hmm... I also don't like the overwhelmed part, but I love the flavour and everything else about this card. I think if you just ignored the overwhelmed bit it would be an awesome and cool card.

No problems here. Obviously much better than Leader of Spears, but Leader of Spears is bad! These just seem powerful to me, not by any means broken, especially as they are hard to start in your starting fellowship.

You presumably mean "Exert this companion to play a mount on him from your draw deck."? To be honest, I think with just that ability he's rocking, because you can fetch Firefoot then pass it around etc. (but you do need to make it once per fellowship phase, for the reasons ket_the_jet discussed) and so I would remove the second ability which seems over the top, and a little bit weird.

To be honest, I'm not adverse to this either, though I think strength +3 would be enough. Given that it would be very easy for a Shadow player to simply kill Théoden and stop the card from working, it seems fine and very entertaining.
