It seems good, except maybe his resistance could be dropped to 8 or 9. You should edit the formatting, though, to make it look like this:
• Sam, Eaves Dropper
Companion • Hobbit
Strength: 3
Vitality: 4
Resistance: 9
Ring-bound.
While Frodo and Gandalf are the only companions in your fellowship, you may play this companion from your draw deck.
While you can spot Frodo, Sam is resistance +2.
While you can spot Gandalf, Sam is strength +2.

Yeah, I’d retool it into AP’s suggested format, and make sure to change "this card" to simply "Sam". But this is really cool!  |

Not sure here, but I don’t think that would be the best idea. Because could it be used to play any Sam from your draw deck? Sam, Great Elf Warrior with Gandalf, Returned and Green Dragon Inn...yowch! Not sure on that one, but leave it as-is to be safe.

compared to other sam’s yes. chop his resistance down 2 maybe (of course he can’t become the ring-bearer. |
